EXECUTIVE MANAGEMENT

Basem Sarandah
President and Chief Executive Officer
Mr. Sarandah has over 26 years of experience in managing consulting and technology development organizations. Prior to taking the leadership role at Nexant in 2000, Mr. Sarandah was a principal vice president of Bechtel Group, Inc. and general manager of Bechtel's Technology and Consulting (BTeC) unit and Bechtel Software, Inc (BSI). During his tenure, BTeC emerged as a leading provider of technology commercialization and consulting services, and BSI became a leading developer of engineering and work-process software products. Earlier, Mr. Sarandah was vice president and manager of business development for Bechtel's Research and Development operation, where he was responsible for commercializing advanced energy, process, applied physics, and engineering and construction technologies. Mr. Sarandah started his career as a strategy analyst at the Institute of Asian Pacific Studies and as a management consultant with Arthur D. Little in San Francisco. He has an M.B.A. from San Francisco State University and an M.A. in economics and B.S. in physics from the University of San Francisco.

Daniel J. Miller
Chief Financial Officer
Mr. Miller directs Nexant's finance, accounting, and information technology corporate service groups, and also leads the financing and investment initiatives to support Nexant's strategic growth plans, overseeing both investment and capital raising activities as well as mergers and acquisitions. He brings over 20 years of professional finance and accounting experience to Nexant, most recently as senior vice president and CFO of NebuAd, Inc., developer of digital media and marketing solutions for online advertising. He began his career as a senior accountant with Deloitte & Touche, subsequently serving as senior treasury manager for Genentech, Inc. and corporate controller for Extreme Networks, Inc. before moving on to more senior roles. Mr. Miller is a certified public accountant and holds an MBA from Carnegie Mellon University and an undergraduate degree from John Carroll University.

Deborah Forhan Rimmler
Senior Vice President and General Counsel
Ms. Rimmler is Nexant's general counsel, responsible for the company's contracts, legal, and corporate communications services. She began her tenure with Nexant as a consultant for World Bank and USAID-funded energy efficiency projects in Southeastern Europe before joining Nexant's in-house legal team. She previously worked as a legal and management consultant to the France Growth Fund, a closed-end mutual fund listed on the New York Stock Exchange. She began her career as an attorney in the General Counsel's office of the U.S. Trade and Development Agency (USTDA) in Washington, D.C. While there, she became the director of business development for the Caspian Finance Center, a regional project office located in Ankara, Turkey combining the efforts of USTDA, the U.S. Export-Import Bank, and the Overseas Private Investment Corporation. Ms. Rimmler has an LL.M. in international and comparative law from Georgetown University, a J.D. from Southwestern University, and a B.A. in political science from Boston College.

SENIOR BUSINESS UNIT MANAGEMENT

Don Bari
Senior Vice President, Energy & Chemicals Consulting (Americas)
Mr. Bari is based in Nexant's White Plains, NY office, where he is responsible for managing Nexant's energy and chemicals consulting business in the Americas. He has over 30 years of technical and management experience in the chemical and petrochemical industries. He came to Nexant from the former Chem Systems operation, which Nexant acquired from IBM in 2001. Before joining Nexant, he spent 19 years with Chem Systems as a global consultant managing numerous technical, economic, commercial, and financial engagements associated with polymer, petrochemical, and chemical products. Mr. Bari holds an M.B.A. in finance and a B.S. in chemical engineering from the University of Connecticut.

James Bradford
Senior Vice President, Energy & Carbon Management
Dr. Bradford manages Nexant's Energy Efficiency & Carbon Management business unit. He has more than 21 years of experience in system metering and monitoring; system modeling and simulation; development, and the use and evaluation of engineering algorithms and techniques. He provides primary client contact, technical direction, project management, and oversight for numerous projects. He has substantial expertise in the design and commissioning of HVAC systems, monitoring of commercial and industrial energy using systems, modeling and simulation of industrial energy-using systems and the development, use, and evaluation of engineering algorithms and techniques. He has designed and overseen the implementation of numerous energy performance-contract and performance measurement and verification programs for both public and private entities. Dr. Bradford holds a Ph.D. and an M.S. in civil, environmental, and architectural engineering from the University of Colorado and a B.S. in mechanical engineering from Montana State University.

Terry Fry
Senior Vice President, Energy & Carbon Management
Mr. Fry directs energy efficiency program services and strategic consulting studies in North America, where he oversees hundreds of energy performance analyses each year. He has been an active proponent of economically efficient energy production and use for more than 25 years, and has served as advisor on energy industry restructuring policies and regulations that encourage energy efficiency, focusing on economics of environmentally friendly technologies, demand-side management, and private sector services. In addition to his technical knowledge concerning the interplay between industry and regulation, Mr. Fry is also an accomplished industry educator and writer, having conducted numerous energy efficiency seminars, lectured at universities in China, Britain, and the U.S., and designed and delivered many training programs. He has also led and participated in numerous assignments on end-use energy efficiency, market development, institutional assessment, regulatory development, and efficient power production in countries around the world, including China, Egypt, Hong Kong, Jamaica, Kazakhstan, Korea, Macau, Macedonia, Mexico, the Philippines, and Thailand, as well as for investor-owned utilities in North America. His energy-related expertise includes economic and policy analysis; program planning, design, and development; and program management and evaluation. Mr. Fry holds an M.Phil in economics and politics of development from Cambridge University and a B.S. in mechanical engineering from Stanford University.

Paul R. MacGregor
Senior Vice President, Clean Energy Markets
Dr. MacGregor manages Nexant's clean energy markets business, responsible for developing and delivering offerings to verify and monetize both renewable energy and energy efficiency transactions. He has over 20 years of experience in leading new market and technology developments as well as managing corporate operations in the areas of clean energy markets, energy trading and risk management, and electric power systems. Dr. MacGregor was the co-founder of Neuwing Energy Ventures LLC, where he developed innovative approaches to securing and delivering long-term supplies of clean energy to major utilities and energy-users. He is credited with having spearheaded development of the first commercial energy efficiency certificate (EEC) program in the United States. Dr. MacGregor holds a Ph.D., M.S., and B.S. in electrical engineering and an M.S. in technology and science policy—all from the Georgia Institute of Technology.

Richard Sleep
Senior Vice President, Energy & Chemicals Consulting (Europe, Africa, Middle East)
Mr. Sleep is based in Nexant's London office, where he is responsible for the company's regional energy and chemicals consulting activities in Europe, Africa, and the Middle East. He has 30 years of experience of petrochemical business, including engineering and production, business management, trading and consulting. In addition, he has extensive experience in strategic planning and development of internet-based planning tools; marketing and management of petrochemical businesses; and energy and chemicals commercial analysis and forecasting techniques. Previously, he was responsible for developing and managing Nexant's ChemSystems Online®-a global petrochemicals industry database and simulation platform. He holds a B.S. (Hons) in mechanical engineering from Bristol University and a Professional Certificate in Management from the Open University (UK).

Andrew Spiers
Senior Vice President, Energy & Chemicals Consulting (Asia)
Dr. Spiers is based in Nexant's Bangkok office, where he is responsible for the company's energy and chemicals consulting activities in Asia. He has 30 years of commercial and management experience in the chemical and petrochemical business and has consulted with major corporations globally, providing advisory services to companies such as BASF, SABIC, and PTT. Dr. Spiers has also managed the petrochemical master plans for countries such as Egypt, Thailand, Malaysia, Vietnam, and Kazakhstan. He has consulted on a number of successfully financed projects in recent years and also conducted feasibility studies for petrochemical projects in many countries. Previously, with Shell Chemicals, Dr. Spiers served as chemicals marketing manager, product manager, and research technologist. He received a Ph.D. and B.Sc. in physical chemistry from Nottingham University.
